Terms of Service for Interstitial AI
Effective Date: August 17, 2025

1. Introduction

These Terms of Service ("Terms") govern the use of the desktop software and online services ("Service") offered by Interstitial AI UG ("Interstitial AI", "we", "us"), a company incorporated under the laws of Germany. By accessing or using the Service, you ("User", "you") agree to be bound by these Terms. If you do not agree, you must not use the Service.

This document incorporates EU consumer rights and obligations under German law and GDPR.

Platform Availability Notice: The Interstitial AI desktop application is currently available for Windows operating systems only. Compatibility with macOS or Linux is not yet supported.

2. Scope and Eligibility

The Service is available to individuals 18 years and older. If you use the Service on behalf of a legal entity, you represent and warrant that you are authorized to bind that entity to these Terms.

3. Description of Service

Interstitial AI provides AI-powered architectural visualization tools via a subscription-based model. Services include image generation, 3D renders, design drafts, and visualization tools tailored to user input.

4. Account Registration

Users must register to access core features. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

5. Subscription, Payments, and Refunds

5.1 Subscription Plans

We offer monthly and annual subscriptions with tiered features. All fees are payable in advance.

5.2 Payment Processor

Payments are processed via Stripe. Users are responsible for keeping payment details accurate.

5.3 Taxes

As Interstitial AI is currently operated by a German GbR without a registered VAT ID, all prices are stated as net prices. No VAT is charged in accordance with applicable small business regulations (Kleinunternehmerregelung) under §19 UStG. Users outside Germany may be responsible for self-assessing VAT or import taxes where applicable.

5.4 Right of Withdrawal (EU Consumers)

As an EU consumer, you have the right to withdraw from your subscription within 14 days of concluding the contract, without giving any reason.

However, this right expires once you:

• Begin using the Service during the withdrawal period and

• Explicitly consent to immediate use and acknowledge the loss of the withdrawal right upon first use.

To exercise your right before activation, email us at info@interstitial-ai.com with a clear withdrawal request. A model form is available on request.

5.5 Refunds and Cancellations

• Monthly Plans: No refund after billing; cancellation effective at end of billing cycle.

• Annual Plans: You may cancel within 14 days for a full refund. After this, no refunds apply.

• Upgrades: Pro-rated and take effect immediately.

• Downgrades: Applied at next billing cycle.

• Token Allocation: Tokens corresponding to your subscription tier are automatically added at the start of each new billing cycle.

6. Ownership and Rights to Content

6.1 User Content

You retain rights to any input or data you provide. You grant us a non-exclusive license to use this input to generate requested outputs and improve the Service.

6.2 Output Ownership

Subject to applicable copyright laws, you own the output generated from your prompts. However, Interstitial AI does not guarantee legal ownership of AI-generated works under all jurisdictions.

6.3 Attribution

When publishing content generated by Interstitial AI, attribution (e.g., "Created with Interstitial AI") is requested where reasonable.

6.4 Publication and Marketing Use

Content generated under free or trial accounts may be used in Interstitial AI's marketing or social media, with prior notification. Paid plan content is private unless you opt-in.

7. Acceptable Use

You agree not to:

• Reverse-engineer or tamper with the Service.

• Use the Service for illegal purposes or to infringe third-party rights.

• Upload unlawful, harmful, or offensive content.

• Create a competing service using our outputs.

• Circumvent security, rate limits, or licensing restrictions.

  
  

8. Open Source and Third-Party Licenses

Our software includes:

• Stable Diffusion XL, under the CreativeML Open RAIL++-M License

• ControlNet and Clarity.AI, under GNU AGPL v3

Your use of the Service is also subject to these licenses where applicable.

9. Privacy and Data Protection

We comply with the General Data Protection Regulation (GDPR) and German privacy laws.

• Data is processed within the EU.

• We maintain appropriate technical and organizational measures to safeguard your data.

• We do not sell or share your personal data.

9.1 Data Processing Agreement (DPA)

For business customers, we offer a GDPR-compliant Data Processing Agreement on request.

10. Service Availability and Limitations

We aim to maintain 99.5% uptime but offer no guarantees. Temporary disruptions may occur for maintenance or due to technical issues.

We reserve the right to:

• Modify features

• Impose fair use limits

• Suspend or terminate accounts that breach these Terms

  
  

11. Export Compliance

You agree not to use the Service in violation of applicable export or trade restrictions, including EU, US, or UN sanctions.

To the maximum extent allowed by law:

• We provide the Service "as-is" with no warranties.

• We are not liable for indirect, incidental, or consequential damages.

• Our total liability shall not exceed the amount paid by you in the past 12 months, or €100, whichever is greater.

  
  

13. Indemnification

You agree to indemnify and hold harmless Interstitial AI from any claims, liabilities, or damages arising from your use of the Service or your breach of these Terms.

14. Termination

We may terminate or suspend your account if you breach these Terms. Upon termination, all rights granted to you cease immediately.

15. Jurisdiction and Governing Law

These Terms are governed by the laws of the Federal Republic of Germany.

• For consumers in the EU: Any disputes may be resolved in the courts of your country of residence.

• For business users: Exclusive jurisdiction is Berlin, Germany.

  
  

16. Changes to the Terms

We may update these Terms. Material changes will be communicated 30 days in advance. Continued use of the Service after changes constitutes acceptance.

17. Severability

If any provision is held invalid, the remaining provisions remain in effect.
